1. Use of the Software

VINCOOS grants educational institutions and their authorized users a non-exclusive, non-transferable, limited license to use the software for educational management purposes. You agree to use the software only for lawful purposes and in compliance with all applicable Kenyan laws and educational regulations.

• 1.1. Institutional Access:
  • Software access is provided through educational institutions that have valid contracts with VINCOOS
  • User accounts are created and managed by school administrators within their institutional framework
  • Access permissions are determined by your role within the educational institution (teacher, parent, administrator)
• 1.2. User Responsibilities:
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must comply with your school's policies regarding software usage and data handling
  • You are accountable for all activities conducted under your account within the educational context
• 1.3. Authorized Use Only:
  • Software may only be used for legitimate educational management purposes
  • Access is limited to school-related data and functions relevant to your authorized role
  • Commercial use outside the educational institution framework is prohibited
• 1.4. Prohibited Activities:
  • Unauthorized access to data beyond your institutional permissions
  • Attempting to circumvent security measures or access controls
  • Using the software to harass, threaten, or harm other users
  • Sharing account credentials with unauthorized individuals
  • Interfering with the normal operation of the software or school systems

2. Educational Data and Privacy

Use of the software involves access to educational data already registered within your institution. Data handling is governed by our Privacy Policy and institutional agreements.

• 2.1. Data Access Framework:
  • You may only access data relevant to your role within the educational institution
  • Student data access is limited to what is necessary for your educational responsibilities
  • All data remains the property of the educational institution
• 2.2. Confidentiality:
  • You must maintain confidentiality of all educational data accessed through the software
  • Student and institutional information must not be shared outside authorized channels
  • You agree to comply with applicable data protection and privacy laws

3. Intellectual Property

All intellectual property rights in the software, including but not limited to trademarks, logos, and content, are owned by VINCOOS or its licensors. Educational institutions receive usage rights, not ownership of the software.

• 3.1. License Restrictions:
  • You may not reverse-engineer, decompile, or create derivative works based on the software
  • Software may not be redistributed or resold without explicit written consent
  • Institutional logos and branding integration requires separate licensing agreements
• 3.2. School Data Ownership:
  • Educational institutions retain ownership of their data entered into the system
  • VINCOOS provides software tools for data management, not data ownership

4. Mobile Application Terms

The VINCOOS mobile application extends the web-based software functionality and is subject to these same terms:

• Mobile access requires existing institutional account credentials
• Mobile app provides read and input access to the same institutional data
• Device security is the user's responsibility
• Mobile app updates may be required for continued access

5. Service Availability and Support

VINCOOS strives to provide reliable service to contracted educational institutions:

• 5.1. Service Levels:
  • We aim for high availability but cannot guarantee uninterrupted service
  • Scheduled maintenance will be communicated to institutions when possible
  • Emergency maintenance may occur without advance notice
• 5.2. Technical Support:
  • Primary support is provided to contracted educational institutions
  • Individual users should contact their school administrators for most issues
  • Direct technical support may be available for specific technical problems

6. Termination and Account Management

Access to the software is tied to your relationship with the contracted educational institution:

• 6.1. Institutional Termination:
  • If a school's contract with VINCOOS ends, all associated user access will be terminated
  • VINCOOS may suspend service for non-payment or contract violations by institutions
• 6.2. Individual Account Termination:
  • Your access may be terminated if your relationship with the school ends
  • Accounts may be suspended for violations of these terms or school policies
  • VINCOOS reserves the right to terminate access for system security or legal reasons

7. Limitation of Liability

VINCOOS provides educational management software tools and limits liability as follows:

• Software is provided on an "as is" basis for educational management purposes
• We do not guarantee complete accuracy of all calculations or reports
• Educational institutions are responsible for verifying critical data and decisions
• VINCOOS will not be liable for indirect, consequential, or educational outcome-related damages
• Liability is limited to the contract value between VINCOOS and the educational institution

8. Compliance and Legal Framework

Software usage must comply with educational and legal requirements:

• Users must follow Kenyan educational regulations and data protection laws
• Institutional policies take precedence for local operational matters
• International users must comply with their local educational and privacy laws
• Any conflicts between institutional policies and these terms should be resolved through institutional administrators

9. Changes to Terms of Service

We may update these Terms of Service to reflect changes in our services, legal requirements, or educational standards. Material changes will be communicated to contracted institutions, and the effective date will be updated. Continued use of our services by institutions constitutes acceptance of updated terms.

10. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of Kenya. Disputes will be handled as follows:

• Primary disputes should be resolved through institutional administrators
• Contract disputes between institutions and VINCOOS are subject to Kenyan jurisdiction
• Individual user disputes may be mediated through educational institution procedures
